1. Software license and ownership

Cadence is proprietary software owned by CoreForge Consulting. The Firm receives a limited, non-exclusive, non-transferable right to use Cadence for its internal law-practice operations for the term of the parties’ separate services agreement.

The Firm and its users may not copy, resell, sublicense, reverse-engineer, scrape, or create derivative works of Cadence except as that separate agreement expressly permits. All intellectual property in Cadence, its interfaces, and its underlying logic remains with CoreForge.

2. The Firm’s and clients’ data

As between the parties, all Firm and client data entered into or ingested by Cadence remains the property of the Firm. CoreForge acts as a service provider (data processor) and uses that data only to operate Cadence for the Firm. CoreForge does not sell Firm or client data. On termination, the Firm may request export and deletion of its data per the separate agreement.

3. Third-party sub-processors

Cadence relies on established third-party providers to function. The Firm acknowledges that Firm and client data may be processed by: hosting and database services (Supabase, Vercel), email send and receive through the Firm’s own connected Google Workspace inbox (Google), practice-management data (Clio), AI text processing (Anthropic), and text messaging (Twilio). Each is used only to deliver Cadence’s features. CoreForge maintains reasonable, industry-standard safeguards and will name any new material sub-processor.

4. Attorney-client privilege and confidentiality

Cadence may process information subject to attorney-client privilege and client confidentiality. CoreForge treats all such information as confidential, restricts access to the systems that operate Cadence, and does not use client content to train third-party models beyond what is necessary to run a requested feature.

The Firm remains responsible for its own professional and ethical obligations regarding client information, including any client consent or notice its jurisdiction requires for using cloud or AI tools.

5. No warranty; limitation of liability

Cadence is provided "as is" and "as available," without warranties of any kind, express or implied, including fitness for a particular purpose. Cadence assists with intake, routing, billing visibility, and document assembly; it does not practice law, does not provide legal advice, and does not replace attorney judgment.

To the maximum extent permitted by law, CoreForge’s liability is limited as set out in the parties’ separate agreement.

6. Security responsibilities

The Firm will keep credentials confidential, use unique strong passwords, promptly remove departed users, and report any suspected security issue to CoreForge. Cadence enforces role-based access (administrators vs. attorneys), per-firm data isolation, and encrypted transport.
